You can get that number of attacks of opportunity arbitrarily high, even infinite with the application of certain things.  But even without going infinite this is a bad idea.  It could work if it was "spend AoO, gain 1 (and only one) extra immediate" and I would argue it would be "spend all your AoOs" so that the tradeoff of a very useful counter ability is you can no longer counter on provocations. :Honestly, the only way I might be okay with this giving even one extra immediate is if it required all AoOs and the prereqs were higher.  It would still be VH, but there's a [[Tactician of Legend (3.5e Prestige Class)|really pretty good PrC]] that gives an extra swift/immediate as its capstone.  --[[User:Undead Knave|Undead_Knave]] ([[User talk:Undead Knave|talk]]) 23:00, 21 August 2019 (MDT)

Breaks the action economy. There are a few ways to counterspell with immediate actions. This gives you tons of them, which isn't very good for the system as a whole.

Special part makes no sense.

Plus, the bonus to AC doesn't do anything.

All in all, should be Very High on the balance rating.
